Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the F47 Core platform and related services (collectively, the “Service”) provided by F47 Systems, Inc. (“F47 Systems,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Definitions

  • “Customer” — the organization or individual that has subscribed to F47 Core.
  • “User” — any individual authorized by the Customer to access the Service.
  • “Customer Data” — all data, content, and files that the Customer or its Users submit, upload, or store within the Service.
  • “Subscription Term” — the period during which the Customer has an active subscription.

2. Account Registration & Access

To use F47 Core, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must promptly notify us of any unauthorized access.

Access to F47 Core is by invitation only. Organizations must be set up by an authorized administrator who manages Users, permissions, and modules within their tenant.

3. Subscription & Billing

3.1 Plans & Fees

F47 Core is offered under subscription plans as described on our website or in a separate order form. Fees are billed in advance on a monthly or annual basis depending on the plan selected. All fees are non-refundable except as expressly stated in these Terms.

3.2 Payment

You authorize us (or our payment processor) to charge the payment method on file for all applicable fees. If payment fails, we may suspend access to the Service until the outstanding balance is resolved.

3.3 Price Changes

We may modify pricing with at least 30 days' written notice before your next renewal date. Continued use after a price change constitutes acceptance.

4. Use of the Service

4.1 Permitted Use

You may use F47 Core solely for your internal business operations in accordance with these Terms and any applicable laws and regulations.

4.2 Restrictions

You agree not to:

  • Reverse engineer, decompile, or disassemble any part of the Service.
  • Use the Service to develop a competing product or service.
  • Sublicense, resell, or redistribute access to the Service without our prior written consent.
  • Upload or transmit malicious code, viruses, or any content that is unlawful, defamatory, or infringes third-party rights.
  • Attempt to gain unauthorized access to any systems or networks connected to the Service.
  • Overload or impair the Service (e.g., through excessive API calls, data bombs, or denial-of-service activities).

5. Customer Data

5.1 Ownership

You retain all rights, title, and interest in your Customer Data. F47 Systems does not claim ownership of any data you submit to the Service.

5.2 License to F47 Systems

You grant us a limited, non-exclusive license to host, process, store, transmit, and display your Customer Data solely as necessary to provide and improve the Service.

5.3 Data Export

During your Subscription Term, you may export your Customer Data at any time using the export features available within the Service. Upon termination, we will make your data available for export for 30 days before permanent deletion.

6. Intellectual Property

F47 Core, including its software, design, logos, trademarks, documentation, and all related intellectual property, is and remains the exclusive property of F47 Systems, Inc. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.

7. Confidentiality

Each party agrees to keep confidential any proprietary or non-public information disclosed by the other party in connection with these Terms. This obligation does not apply to information that is publicly available, independently developed, or rightfully obtained from a third party.

8. Service Availability & Support

We strive to maintain 99.9% uptime for the Service but do not guarantee uninterrupted availability. Scheduled maintenance windows will be communicated in advance when possible. Support is provided via email during business hours. Priority support may be available under certain subscription plans.

9. Warranties & Disclaimers

We warrant that the Service will perform substantially in accordance with its documentation during the Subscription Term. EXCEPT FOR THIS LIMITED WARRANTY, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, F47 SYSTEMS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO F47 SYSTEMS IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless F47 Systems, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from (a) your use of the Service, (b) your Customer Data, (c) your violation of these Terms, or (d) your violation of any applicable law or third-party rights.

12. Term & Termination

12.1 Term

These Terms are effective from the date you first access the Service and continue for the duration of your Subscription Term plus any renewal periods.

12.2 Termination for Cause

Either party may terminate these Terms if the other party materially breaches any provision and fails to cure such breach within 30 days of written notice.

12.3 Effect of Termination

Upon termination, your access to the Service will cease. You may export your Customer Data during a 30-day grace period following termination. After that period, all Customer Data will be permanently deleted. Sections 5.1, 6, 7, 9, 10, 11, and 14 survive termination.

13. Modifications to the Terms

We may update these Terms from time to time. We will provide notice of material changes at least 30 days before they take effect. Continued use of the Service after such changes constitutes acceptance of the updated Terms.

14. General Provisions

  • Governing law: These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles.
  • Dispute resolution: Any disputes shall be resolved through binding arbitration administered by the American Arbitration Association, except that either party may seek injunctive relief in court for intellectual property matters.
  • Entire agreement: These Terms, together with the Privacy Policy and any order forms, constitute the entire agreement between you and F47 Systems regarding the Service.
  • Severability: If any provision is held unenforceable, the remaining provisions remain in full force.
  • Assignment: You may not assign these Terms without our prior written consent. We may assign our rights and obligations freely in connection with a merger, acquisition, or sale of assets.
  • No waiver: Our failure to enforce any right or provision shall not constitute a waiver of such right or provision.
